Mainland owners: mandatory statutory step you cannot ignore — fines up to HKD 25,000 and HKD 700 per day!

Many mainland owners treat Hong Kong company maintenance lightly after incorporation. A critical and frequently overlooked requirement under the Companies Ordinance (Cap. 622) is preparing and updating the Significant Controllers Register (SCR) and maintaining complete Statutory Books.

What is the SCR and why is it a major compliance landmine? To counter money-laundering and terrorist financing, Hong Kong requires all registered companies to keep an SCR at the registered office or a designated location. A Significant Controller includes anyone holding more than 25% direct or indirect control or who exerts substantial influence over the board.

Three common mistakes by mainland owners:

  • Using cheap agents who file only CI and BR and do not properly prepare or update the SCR.
  • Layered offshore ownership used to “hide” UBOs — failure to report is illegal.
  • Not updating SCR and minutes promptly after director/shareholder changes.

Severe legal penalties Failure to keep an SCR is a criminal offence. The company and each responsible officer may face imprisonment or fines — up to a Level 4 fine (HKD 25,000) plus a daily fine of HKD 700 for continuing offences.

Resolution strategy

  • Perform a complete Statutory Books review immediately.
  • Stop using template, low-quality paperwork — use an experienced company secretary to prepare compliant minutes and special resolutions.
  • Adopt a Fractional Com Sec arrangement to delegate ongoing compliance.
